Is publication actually required?
New York LLC Law Section 206 requires it for LLCs, and Section 802 applies the same obligation to foreign LLCs authorized in New York. The notice must run once a week for 6 successive weeks in two newspapers designated by the county clerk.
Can I choose cheaper newspapers?
No. The county clerk designates which two newspapers your notice must run in. Publishing anywhere else does not satisfy the requirement.
What happens if I do not publish?
Section 206 provides that an LLC that has not published within the statutory period has its authority to carry on business in New York suspended. Whether that affects a particular company is a question for its own attorney.
Do I need a registered agent to use this?
No. We do not change your registered agent and we do not sell one. Your existing arrangement stays as it is.
